This Terms of Use (hereinafter – the Terms) and other documents that are incorporated herein or referred to herein set forth the terms and conditions on which you, the Streamer, are granted by us, the Service Provider, with access and permission to use the Streamiverse Technology and Services. To use the Platform, you have to accept the Terms fully. There is no possibility to accept the Terms partially.
We reserve the right to amend these Terms at our discretion at any time. In this case, you are considered to agree to the amended Terms by continuing the use of the Streamiverse Technology and Services.
The Service Provider you are contracting with is:
**Streamiverse LLS **, incorporated in the Saint Vincent and the Grenadines and operating under the laws of Saint Vincent and the Grenadines.
**Address **: Euro House, Richmond Hill Road, Kingstown, St. Vincent and the Grenadines.
The Streamiverse Technology and Services is a one-stop complex of software, administrative, marketing, and IT solutions of different kinds that help the Streamer manage donating and merch campaigns and monetizing their community.
The Streamiverse Technology and Services shall only be used to collect, manage, and operate donations, and manage and operate merch campaigns. The Streamiverse Technology and Services shall not be used as a means to accept payments for services or goods or for other commercial use.
To use the Streamiverse Technology and Services, the Streamer must create an account and provide certain personal information. The Streamer must provide real, accurate information and keep it current at all times, as well as provide personal information upon the Service Provider’s request.
To use the Streamiverse Technology and Services, the Streamer must be either a legal organization or an individual of full legal age in accordance with the place of their citizenship and/or residency, whichever is higher, and with full capacity to act as a Streamer.
To use the Streamiverse Technology and Services on behalf of an organization, an authorized representative of that organization must agree to these terms.
The Streamer must be incorporated and/or be a resident of a country where the Streamiverse Technology and Services are provided without limitations. For avoidance of doubt, the Streamiverse Technology and Services are not provided and the Service Provider does not operate in the following jurisdictions:
The Streamer guarantees and confirms that at any time during the use of the Streamiverse Technology and Services, the Streamer is not a Politically Exposed Person (PEP), a family member, or a close associate of a Politically Exposed Person as defined by FATF Recommendations and Guidance.
The Streamer may only use the Streamiverse Technology and Services with their own email and for their own benefit. Acting on behalf of or in the interest of any other person or entity is prohibited unless as an authorized representative of a legal organization. Creating fake accounts, impersonating others, or misleading others into thinking the donating or merch campaigns originate from someone else is strictly forbidden.
The Streamiverse Technology and Services may only be used for legal and lawful goals. Fraudulent or deceptive use and violation of laws, contracts, or others’ rights are strictly prohibited.
Additional or occasional requirements may be applied to all or any part of the Streamiverse Technology and Services at any time. Such requirements are deemed an integral part of these Terms.
The Streamer acknowledges and agrees that their access to and use of the Streamiverse Technology and Services is at their own risk.
**Disclaimer **: The Streamer agrees to indemnify and hold the Service Provider harmless against any claims, demands, or damages, whether direct, indirect, consequential, or special, including loss of profits, data, or other damages arising from their use of the Streamiverse Technology and Services.
The Streamiverse Technology and Services are provided on an “as is” and “as available” basis. The Service Provider disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Parts of the Streamiverse Technology and Services, such as fiat and digital asset payments and wallet features, are provided via third parties. The Service Provider disclaims any liability for defaults on their behalf.
To the extent allowed by applicable law, the Streamer indemnifies the Service Provider and its directors, officers, employees, and contractors for any third-party legal proceedings arising out of or relating to the Streamer’s unlawful use of the Streamiverse Technology and Services or violation of these Terms.
The permission to access and use the Streamiverse Technology and Services continues as long as the Streamer complies with these Terms. Non-compliance may result in the suspension or termination of services.
The Service Provider grants the Streamer a personal, non-exclusive, non-transferable, worldwide, royalty-free license to use the software, including the web version of the donating platform and APK files, for its intended use only.
Nothing in these Terms constitutes an assignment of the Service Provider’s intellectual property.
The Service Provider reserves the right to charge fees for the Streamiverse Technology and Services in accordance with current rates.
The Service Provider may suspend or terminate access to the Streamiverse Technology and Services in cases of material or repeated breach of the Terms, legal requirements, or if harm is reasonably believed to occur.
Disputes arising out of or related to these Terms shall first be negotiated. If an amicable settlement is not reached, disputes shall be resolved in arbitration by the Eastern Caribbean Supreme Court.
These Terms are governed by the laws of Saint Vincent and the Grenadines.
The arbitration seat is Saint Vincent and the Grenadines. The proceedings will be conducted in English, with a single arbitrator.
